Governance failures at listed companies, state corporations, banks and cooperatives rarely come from a lack of rules. They come from boards that accept polished information without question, defer to a dominant executive, or treat risk, audit and strategy as separate agenda items. Investors, regulators and lenders now look beyond compliance statements to evidence that a board is actually effective.
This advanced programme is designed for people who already sit on or serve boards. It assumes familiarity with fiduciary duties and committee structures and concentrates on the judgement calls that separate strong boards from adequate ones. Participants look at how boards add value to strategy, how to set a risk appetite that management can use, how to design remuneration and succession processes that withstand scrutiny, and how to handle conflict, dissent and crisis inside the boardroom.
The course uses case studies of governance successes and failures, structured board evaluation exercises, simulations of difficult boardroom moments and facilitated peer exchange between sectors. Participants analyse their own board's dynamics using diagnostic tools, and leave with a practical improvement plan covering agenda design, information quality, committee roles and evaluation follow-through.
