Corporate governance failures rarely start with a single bad decision. They grow from boards that meet without the right information, directors who are unclear about their duties, committees that exist on paper only and cultures in which management is never seriously questioned. Regulators, lenders, investors and development partners now look closely at how boards are composed and how they operate, and governance quality increasingly affects access to capital, licences and partnerships.
The Applied Corporate Governance & Board Effectiveness Training Course moves beyond principles to the practical mechanics of a high-functioning board. It begins with governance frameworks and the legal and ethical duties of directors, then looks at board structure, composition, independence and the work of standing committees. Board dynamics come next, including the chair's role, the quality of board papers, constructive challenge and decision-making. Later sessions examine the board's oversight of strategy, risk, internal audit, financial reporting and sustainability, before concluding with evaluation, succession and the design of a governance improvement plan.
Participants analyse governance case studies from listed companies, state-owned enterprises, financial institutions and non-profit organisations, and take part in a simulated board meeting. Each person leaves with a board evaluation tool and a set of priority improvements for their own board.
