Investors, lenders, regulators and the public increasingly judge organisations by the quality of their boards. Governance is no longer a compliance exercise performed once a year; it shapes strategy, risk appetite, culture and the willingness of capital providers to commit. In many African institutions, including state corporations, family businesses, cooperatives and growing private companies, boards also face the challenge of professionalising without losing agility.
This programme addresses what effective boards do differently. It begins with the legal and ethical duties of directors and the principal governance frameworks, then examines board architecture: size, skills mix, independence, committees and the relationship between chair, chief executive and company secretary. It continues with the information flows, meeting disciplines and decision processes that turn a group of capable individuals into a functioning team.
Later sessions deal with oversight of risk, internal control and audit, executive pay and succession, stakeholder and shareholder relations and the board's role in sustainability. Participants learn through board simulations, extracts from governance reports and critique of anonymised board packs. They finish with a practical improvement plan for their own board or one they advise.
