Good governance used to be judged mainly on financial controls and compliance. Today it is also judged on whether directors understand how technology creates value and risk. Ransomware, data leaks, automation of core processes and the arrival of generative AI have turned digital oversight into a core board duty, while stakeholders expect transparent, accountable and well-evidenced decisions.
The programme begins with the foundations of corporate governance, including director duties, accountability structures and widely used governance codes, before turning to digital transformation as a board subject. Participants examine how to challenge a digital strategy, how to review business cases and benefits realisation, and how to oversee cyber resilience, data protection, third-party technology risk and responsible AI. Later sessions focus on the practical machinery of board effectiveness: agendas and papers, committee roles, skills matrices, succession, evaluation and the use of digital tools for secure collaboration.
Methods include case discussions, mock board meetings and structured self-assessment. Participants prepare a digital governance charter outline and a board improvement plan for their organisation, so that the learning moves straight into the boardroom.
