Investors, lenders, regulators and the public expect boards to protect the organisations they govern and to account for how they have done so. A board that lacks clarity about its role may drift into managing day-to-day affairs, or fail to notice financial, ethical and strategic risks until they have become crises. Newly appointed directors, in particular, often join with little structured introduction to what is legally and ethically expected of them.
The Fundamentals of Corporate Governance & Board Effectiveness Training Course sets out the framework from first principles. It explains what governance is, the major theories and models, and the codes that guide practice in Africa and internationally. Participants study the legal and fiduciary responsibilities of directors, the structure and size of effective boards, and the difference between governance and management. Further sessions deal with board committees, risk and internal control oversight, financial reporting, ethics and whistleblowing, and relationships with shareholders, members, donors and regulators.
Discussion centres on realistic board scenarios, such as a disputed related-party transaction or a weak audit report. Delegates complete a self-assessment of their own board, which becomes the starting point for a practical improvement plan.
