Good corporate governance is now a condition for investment, lending and public trust. Regulators tighten disclosure rules, development finance institutions test the quality of boards before they commit funds, and shareholders ask harder questions about accountability. For state-owned enterprises and private firms alike, a board that does not function well is a strategic risk.
Policy and Regulatory Frameworks for Corporate Governance & Board Effectiveness Training Course connects the rules with the behaviour of boards. It begins with the theory and purpose of governance, then reviews international principles, national company and securities legislation, sector regulation and voluntary codes, and the way “apply and explain” regimes work. Participants examine the legal duties of directors, the separation of board and management roles, board composition and diversity, the role of the chair and the company secretary, and the design of audit, risk, nomination and remuneration committees. Further sessions cover strategy oversight, risk and internal control, ethics, sustainability reporting, shareholder and stakeholder relations, and board evaluation.
Cases involve governance failures and well-run boards, and exercises draw on participants’ own organisations. The course closes with a governance improvement roadmap tailored to each participant.
